Special Cases for legal entities

  1. If domain is transferred by an organization to its sole executive body
  2. If the letter is issued by any person other than the Entity's Director
  3. If the domain ownership is transferred by a subsidiary
  4. If the domain ownership is transferred by a foreign company representative office
  5. If the Entity transferring .RU domain ownership is not an identified customer
  6. If the domain is transferred by the Management company

  1. If domain is transferred by an organization to its sole executive body

    1.1. Domain transfer is initiated by the Limited Liability Company (LLC)

    The required documents:

    • domain transfer letter to be issued on behalf of the organization and signed by its authorized person*;
    • a copy of the resolution (minutes) of the stockholders' general meeting with the approval of domain transfer as an interested party transaction**.

    1.2. Domain transfer is initiated by the Joint Stock Company (JSC)

    The required documents:

    • domain transfer letter to be issued on behalf of the organization and signed by its authorized person*;
    • a copy of the resolution of the board of directors (or minutes of the stockholders' general meeting) with the approval of domain transfer as an interested party transaction***;
    • an extract from stockholders' register;
    • a copy of the charter.

    1.3. Domain transfer is initiated by the Non-Profit Organization (NPO)

    The required documents:

    • domain transfer letter to be issued on behalf of the organization and signed by its authorized person*;
    • a copy of the resolution (minutes) of the NPO management or supervision authority;
    • a copy of the charter.

    * if the authorities of the organization's executing body have been delegated to the managing company, the authorized person of the managing company has no right to sign domain transfer letter, if the domain is transferred to this authorized person (as per para. 3 art. 182 of the RF Civil Code).
    ** if the sole founder is a person, who coordinates the functions of the sole executive body of the organization, a copy of the resolution (minutes) would not be required.
    *** if the organization is represented by a sole stockholder who also performs the functions of the sole executive body of the organization, a copy of the resolution (minutes) would not be required.

  2. If the letter is issued by any person other than the Entity's Director

    The letter may be signed by a person, other than the Entity's Director. Any such person's plenary powers are to be confirmed by a proxy, order or other document.

    The letter should be supplemented with a Proxy or Order copy. The Proxy or Order must specify the following:

    Model Proxy forms:

    for a domain ownership transfer (RTF) (Registrant replacement)
    for a domain service transfer to another Registrar (RTF)
    for a domain registration cancellation (RTF)

    It shall not be permissible to transfer the domain ownership under a letter signed by the Domain Holder's Representative under a Proxy, if the domain ownership is transferred to the Representative her/himself (as per Part 3, Article 182, of the RF Civil Code).

    RU-CENTER is entitled to request additional documents and notarized copies of documents to be submitted by the customer within the set timeframe.

    • in this case the letter has to be issued in the name and on behalf of the Authorized Representative;
    • the letter should specify its position and full name (first, middle and last one name);
    • the letter should also specify the reference number and date of the document confirming the Authorized Representative's plenary powers (e.g.,
      <on the basis of Proxy No. ______ of _______>,
      or <on the basis of Order No. _____ of______>); and
    • the letter is to be undersigned by the authorized Representative.
    • that the Authorized Representative is entitled to dispose of the domain (or make any deals related to the domain name, or sign any documents on a domain ownership transfer, or make any other deals, or else enter into and cancel any types of contracts) with no restrictions, also with regard to their price, imposed;
    • a Proxy on specific domain name transfer should specify domain names, without www (for example, test.ru).
    • Domain names containing Cyrillic characters are to be specified in Cyrillic characters and converted into Punycode. For example: ру-центр.su (XN----JTBYJDLDZ.SU).
    • Domain names in Cyrillic TLDs (.РФ, .МОСКВА, .ДЕТИ, .ОНЛАЙН, .САЙТ, and .ОРГ) can be only specified in Cyrillic characters, without Punycode.
  3. If the domain ownership is transferred by a subsidiary
    • the domain ownership transfer letter has to be issued in the name and on behalf of the parental entity or a person acting in the name and on behalf of the parental entity by proxy;
    • the letter should be supplemented with a Proxy copy; and
    • the Proxy should specify explicitly that the authorized person is entitled to dispose of the domain (or make any deals related to the domain name, or sign any documents on a domain ownership transfer, or make any other deals, or else enter into and cancel any types of contracts) with no restrictions, also with regard to their price, imposed.
  4. If the domain ownership is transferred by a foreign company representative office
    • the domain ownership transfer letter has to be submitted in the name and on behalf of the foreign company itself or a person acting in its name and on its behalf by Proxy: the letter should be supplemented with a Proxy copy.
    • The Proxy should specify explicitly that the authorized person is entitled to dispose of the domain (or make any deals related to the domain name, or sign any documents on a domain ownership transfer, or make any other deals, or else enter into and cancel any types of contracts) with no restrictions, also with regard to their price, imposed.
    • a copy of the certificate on accreditation and inclusion in the State Register of branches of foreign legal entities accredited in Russia.
  5. If the Entity transferring .RU, .SU, .РФ, .NET.RU, .ORG.RU or .PP.RU domain name ownership is not an identified customer

    The ownership transfer letter should be supplemented with a copy of the legal entity's registration certificate.

  6. If the domain is transferred by the managing company

    The required documents:

    RU-CENTER reserves the right to request from the current registrant (managed company) additional documents, including notarized copies of documents, which the customer shall submit within a specified period.

    • a domain transfer letter signed by the authorized representative of the managing company;
    • a copy of the agreement on delegation of the authorities of the sole executive body;
    • a copy of the Charter.
